1. Agreement to Terms

By accessing or using the ARI Logistics Inc. website (drivewithari.com) and related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not use our website or services.

2. Owner-Operator Agreement

These Terms do not constitute an owner-operator agreement or employment contract. Separate written agreements will be provided to approved applicants that outline:

• Revenue split arrangements (82/18)
• Payment terms and same-day pay procedures
• Equipment requirements and standards
• Insurance requirements and coverage
• Operational guidelines and dispatch procedures

3. Application Process

By submitting an application through our website, you:

• Certify that all information provided is accurate and complete
• Authorize ARI Logistics to verify the information provided
• Consent to background checks, drug screening, and driving record checks
• Understand that submission does not guarantee approval
• Acknowledge that false information may result in disqualification

4. Independent Contractor Status

Owner-operators who contract with ARI Logistics are independent contractors, not employees. As such:

• You maintain control over your business operations
• You are responsible for your own taxes and expenses
• You may accept or decline loads
• You must maintain required insurance and licenses
• You must comply with all DOT and FMCSA regulations

5. Equipment and Maintenance

• Maintain equipment in safe, legal operating condition
• Pass required DOT inspections
• Keep current registration and permits
• Use ARI-provided ELD systems for compliance
• Maintain physical damage insurance on equipment

6. Payment Terms

• 82% of gross revenue paid to owner-operator
• Same-day pay for loads delivered before noon EST
• Next-business-day pay for loads delivered after noon EST
• Weekly deductions for insurance, plates, ELD, and IFTA
• No hidden fees or surprise charges

7. Insurance and Liability

ARI Logistics provides primary liability and cargo insurance. Owner-operators are responsible for:

• Physical damage insurance on equipment
• Personal injury protection
• Applicable deductibles

8. Termination

Either party may terminate the owner-operator agreement with notice as specified in the individual contract. Upon termination, all company equipment must be returned, final settlements processed, and refundable deposits released after inspection.

9. Intellectual Property

All content on this website—including text, graphics, logos, and software—is the property of ARI Logistics Inc. and protected by law. You may not reproduce or distribute content without written permission.

10. Limitation of Liability

ARI Logistics Inc. shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless ARI Logistics Inc., its officers, employees, and agents from any claims, losses, liabilities, or expenses resulting from your violation of these Terms or applicable laws.

12. Dispute Resolution

Any disputes arising from these Terms or your relationship with ARI Logistics Inc. shall be resolved through binding arbitration in Jackson, Mississippi, in accordance with the rules of the American Arbitration Association.

13. Governing Law

These Terms are governed by the laws of the State of Mississippi, without regard to conflict-of-law provisions.

14. Changes to Terms

We may modify these Terms at any time by posting the revised version on this page and updating the effective date. Continued use of our site constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in effect.
